By creating an account or using SoundIt ("the Service"), you agree to be bound by these Terms and Conditions ("Terms"). If you do not agree, do not use the Service.
If you use the Service on behalf of a company or organisation, you represent that you have authority to bind that organisation to these Terms.
"SoundIt", "we", "us", "our" refers to the provider of the Service.
"You", "your" refers to the individual or organisation using the Service.
"Business" means a single-tenant account used by a brand or business to monitor its own advertisements.
"Agency" means a multi-tenant account used by a marketing or media agency to manage and monitor campaigns on behalf of multiple clients.
"Client" means an end customer of an Agency whose campaigns are managed within the Service.
"Content" means audio, text, data, and any other material you upload or provide to the Service.
SoundIt is a radio advertising monitoring platform that records online radio streams, fingerprints your uploaded advertisements, detects when those advertisements are broadcast, and provides detection logs, broadcast clips, and reports.
We may modify, add, or discontinue features at any time. We will use reasonable efforts to notify you of material changes.
Business account. A Business account is a single-tenant account. You may manage your own campaigns, stations, and reports. You may not create sub-accounts for, or resell the Service to, third parties.
Agency account. An Agency account is a multi-tenant account. You may create and manage multiple Clients, each with their own campaigns, stations, and reports, all within your Agency workspace.
The features, limits, and pricing applicable to each account type are set out on the pricing page or your order form and are incorporated into these Terms by reference.
You must provide accurate, current, and complete information when creating an account, and keep it up to date.
You are responsible for maintaining the confidentiality of your login credentials and for all activity that occurs under your account. Notify us immediately of any unauthorised use.
Certain features are available only on paid plans. Fees are billed as described at the time of purchase. Unless stated otherwise, fees are non-refundable except as required by law.
You are responsible for any applicable taxes. We may suspend or terminate access for non-payment.
You agree not to:
You retain ownership of the Content you upload, including your advertisement audio. You grant us a limited, non-exclusive licence to store, process, and reproduce your Content solely to provide the Service.
You represent that you have all necessary rights to the Content you upload, including any music or audio rights.
We do not sell your personal information to third parties. We only share information as necessary to provide the Service (for example, with hosting or infrastructure providers), to comply with law, or with your consent.
If you are an Agency, you must not sell, rent, or disclose your Clients' personal information or campaign data to any third party except as necessary to provide services to those Clients or as required by law. You are responsible for ensuring your own processing of Client data complies with applicable data protection laws.

As an Agency, you acknowledge and agree that:
As a Business, you may use the Service solely for your own advertising monitoring and reporting. You may not grant access to, or process data on behalf of, third parties through your account unless you upgrade to an Agency account.
The Service, including its software, design, branding, and documentation, is owned by SoundIt and is protected by intellectual property laws. These Terms do not grant you any right, title, or interest in the Service other than the limited right to use it as set out herein.
The Service relies on third-party radio directories and stream providers. We do not control and are not responsible for the availability, legality, or content of third-party radio streams or links. Streams may be withdrawn or changed at any time.
You may cancel your account at any time. We may suspend or terminate your account for breach of these Terms, non-payment, or where required by law. Upon termination, your right to access the Service ceases, and we may delete your data in accordance with our retention practices.
The Service is provided "as is" and "as available" without warranties of any kind, whether express or implied, including merchantability, fitness for a particular purpose, or non-infringement. We do not guarantee that detection results will be uninterrupted, error-free, or complete.
To the maximum extent permitted by law, SoundIt shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or for any loss of profits, revenue, data, or goodwill, arising out of or related to your use of the Service. Our total aggregate liability shall not exceed the amounts paid by you to SoundIt in the twelve (12) months preceding the claim.
You agree to indemnify and hold harmless SoundIt and its officers, employees, and agents from any claims, losses, or damages arising out of your use of the Service, your Content, or your breach of these Terms.
We may update these Terms from time to time. We will notify you of material changes by email or through the Service. Your continued use after the effective date of changes constitutes acceptance of the revised Terms.
These Terms are governed by the laws of the jurisdiction in which SoundIt operates, without regard to conflict-of-law principles. Any disputes shall be resolved in the courts of that jurisdiction.
